General Terms and Conditions (T&Cs)

 

1. Scope

These General Terms and Conditions (T&Cs) apply exclusively to all business relationships between DA Precision Components AG (hereinafter referred to as the "Seller") and its customers (hereinafter referred to as the "Buyer") in the version valid at the time the order is placed.

Any conflicting, deviating, or supplementary terms and conditions of the Buyer shall not become part of the contract unless the Seller has expressly agreed to them in writing. These Terms and Conditions apply exclusively to business-to-business (B2B) transactions.

2. Offers and Conclusion of Contract

The presentation of products on the website, in catalogs, or in price lists does not constitute a legally binding offer but merely an invitation to place an order.

A contract shall only be concluded when the Seller accepts the Buyer's order by means of a written order confirmation (by email or post) or by dispatching the goods to the Buyer.

3. Prices and Payment Terms

Invoices issued by the Seller are payable within 30 days from the invoice date without any deductions.

Upon expiry of the payment period, the Buyer shall automatically be in default without the need for a reminder. The Seller is entitled to charge statutory default interest as well as reminder fees.

4. Delivery and Transfer of Risk

Delivery dates and delivery periods are non-binding unless expressly agreed otherwise in writing.

The benefits and risks shall pass to the Buyer upon handover of the goods to the carrier (e.g. logistics provider, postal service, or freight forwarder), in accordance with the ICC Incoterms where applicable (typically FCA or EXW).

Delivery delays caused by force majeure, transportation disruptions, or circumstances beyond the Seller's control shall extend the delivery period accordingly and shall not give rise to any claims for damages by the Buyer.

5. Retention of Title

The delivered goods shall remain the property of the Seller until all claims arising from the purchase agreement have been paid in full.

The Seller shall be entitled to register the retention of title in the applicable retention of title register at the Buyer's place of residence or registered place of business.

6. Data Protection

The collection and processing of the Buyer's personal data shall be carried out in accordance with the Seller's separate Privacy Policy, which is available on the website.

7. Severability Clause

Should any provision of these Terms and Conditions be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.

The invalid or unenforceable provision shall be replaced by a valid provision that comes as close as possible to the economic purpose of the original provision.

8. Governing Law and Jurisdiction

All legal relationships between the Seller and the Buyer shall be governed exclusively by the laws of Switzerland, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction for all disputes arising out of or in connection with this agreement shall be the registered office of DA Precision Components AG.

However, the Seller shall also be entitled to bring legal proceedings against the Buyer at the Buyer's ordinary place of jurisdiction.
